Introduction:

The purpose of this agreement is to identify parties involved for Learnsharify’s service, establish intended usage of the platform for said parties, and establish legal liability for said parties.The company that owns Learnsharify.com is Revsharify LLC, and shall be known as Revsharify LLC. The service provider for this agreement shall be known from this point on in the agreement as Learnsharify. Learnsharify is intended to be a digital content distributor for teachers. What sets Learnsharify apart from other digital content distributors is that it sells small, tasteful ad spaces on both the individual teacher class news feed as well as the document viewer application. When teachers go to create an account on Learnsharify.com they are actually being hired as content curators for their own classes by Revsharify LLC. The general intent and purpose of Learnsharify is to be a passive source of income for teachers while doing their job of teaching. Secondary school teachers are generally being pushed away from using paper, and towards using students one to one devices provided by school districts. Learnsharify incentivizes teachers to cut down on paper use while earning a small amount of passive income for doing so. Payments are made to teachers up to 1 month after a full month of Learnsharify usage has taken place. Learnsharify is not liable for any damages caused or related to posted content. All legal liability for posted material is on the content curator, not Revsharify LLC. Accepting these terms of service explicitly shields Revsharify LLC from liability issues stemming from posted content.

Definitions:

The following terms will be defined and used throughout this contract and should be referenced for precise meaning of verbiage

  • Content Curator - This is the term Learnsharify will use to refer to the users who are teachers. Content Curators are intended to use Learnsharify as a method of earning passive income WHILE teaching. For the intents and purposes of Learnsharify, a Content Curator is an individual or entity responsible for finding, organizing, and presenting relevant and valuable content to a specific audience. Content curation involves gathering information from various sources, such as articles, blog posts, worksheets, digital activities, and other online resources, and selecting the most valuable and pertinent pieces to share with the target audience.
  • Teacher Dashboard - This term is the web page the Content Curator is directed to through their web browser after a successful login attempt. The Teacher Dashboard contains tools to create classes, obtain or download personal tax information, student usage by class, and general statistics related to page views and payment breakdown.
  • Student - This is the term Learnsharify will use to refer to a user that creates an account and joins a Content Curators class with the intent to submit assignments, learn, and earn the best grade possible.These users are to create a ‘student’ account during the account creation phase.
  • Student Dashboard - This term is the web page a student is directed to through their web browser after a successful login attempt. From this web page students should be able to join classes, view all of their classes, and view all specific documents the content curators have uploaded from the teacher dashboard.
  • Parent - This is the term Learnsharify will use to refer to a user that creates an account with the intent of monitoring their child's progress academically, and monitoring content curated by the student's teacher.
  • Parent Dashboard - This term is the web page a parent is directed to through their web browser after a successful login attempt. From this web page students should be able to join classes, view all of their classes, and view all specific documents the content curators have uploaded from the teacher dashboard.
  • Class News Feed - This term refers to the web page containing one particular class. A teacher is directed to this web page from his or her teacher dashboard, while a student is directed to this page from their student dashboard. For example if Ms. Hernandez teaches two different periods of Algebra 1 periods two and five, she can have a separate class news feed for both classes if she so chooses.
  • Content - Any articles, blog posts, pictures, worksheets, social media updates, PDF’s, word documents, google sheets documents, and other online resources.
  • Class Content - Includes but is not limited to: any posted material on a class news feed that is relevant to academic instruction.
  • Non-Class Content - Includes but is not limited to: any posted material on a class news feed that is irrelevant to academic instruction.
  • Current User - any of the three main user types who has posted or logged in to Learnsharify within the last 365 days.
  • Improper Use - Defined as using Learnsharify to distribute non-class content.
General User Obligations:

There are three main types of users on Learnsharify: Content Curators, Students, and Parents. All user types are expected to use the Learnsharify platform as a way to distribute Class Content- materials developed by a teacher or teachers delivered to students for digital learning use purposes. No current user may create and patent a learning management system with a revenue sharing model with banner ads like Learnsharify.

  • Content Curator Obligations - The content curator is responsible for but not limited to: complying with all applicable laws, regulations, and policies while using Learnsharify. This can include but is not limited to adherence to copyright laws, data privacy regulations, and any other relevant legal requirements. Any content the content curator may upload, share, or distribute through Learnsharify must not infringe upon intellectual property rights, violate privacy rights, or contain offensive or inappropriate material. Learnsharify is not intended to be used to distribute non-class materials. Content curators must also provide 100% accurate information when creating an account. Content curators who post their own original content retain ownership of their content, however Learnsharify retains license to display content for but is not limited to: training or advertising purposes. Learnsharify is not responsible for any losses or damages. Failure to comply with any or all of these measures can and may be deemed as improper use of Learnsharify. Improper use of Learnsharify will result in possible suspension or ban from Learnsharify.
  • Student Obligations - The student is responsible for but not limited to: using appropriate language with class tools and communication features, providing 100% accurate information when creating an account. Any and all potential student generated content must be created and posted to Learnsharify with content curators consent. All student generated content is owned by the student, however Learnsharify retains license to display student work for but is not limited to advertising or training purposes.
  • Parent Obligations - The Parent is responsible for but not limited to: providing 100% accurate information when creating an account, reading the entirety of the terms of service document, and consenting to their child's account creation upon accepting this Terms of Service document. If a parent does not want their student using Learnsharify, please email admin@learnsharify.com with your request to have your students data (name, email, and school name) destroyed appropriately in compliance with the Child's Online Privacy Protection Act.
Service Description:

Learnsharify is an online educational platform designed to facilitate collaboration and resource sharing among teachers and students. Our platform provides a virtual class environment where teachers can create and manage classes, assign tasks, and provide feedback to students. Students can access their classes, participate in discussions, submit assignments, and engage in interactive learning activities.

Learnsharify offers features such as file distribution, communication tools, and a centralized repository for educational resources. The platform aims to foster a collaborative and engaging learning experience, enabling teachers and students to connect, collaborate, and enhance their educational journey.

Please note that while Learnsharify strives to provide a reliable and secure platform, we do not guarantee uninterrupted access to the service due to factors beyond our control, such as internet connectivity issues or system maintenance. However, we are committed to promptly addressing any service disruptions and providing ongoing support to ensure a positive user experience.

By accessing and using Learnsharify, you agree to comply with our Terms of Service, which govern your use of the platform and outline the rights and responsibilities of all users. Please read the Terms of Service carefully before using Learnsharify.

Intellectual Property:

Learnsharify and its related services, including but not limited to the website, software, designs, logos, graphics, and content, contain intellectual property owned or licensed by Learnsharify or its affiliates. All intellectual property rights are protected by applicable intellectual property laws.

By using Learnsharify, you acknowledge and agree that all intellectual property rights associated with the platform are the exclusive property of Learnsharify or its licensors. You shall not, under any circumstances, modify, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any content or intellectual property obtained from or through Learnsharify without prior written consent from Learnsharify.

You retain ownership of any intellectual property rights in the content you submit or upload to Learnsharify. By posting or sharing content on Learnsharify, you grant Learnsharify a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display the content solely for the purposes of operating, promoting, and improving Learnsharify and its services.

Learnsharify respects the intellectual property rights of others and expects its users to do the same. If you believe that your intellectual property rights have been infringed upon by any content on Learnsharify, please contact us promptly and provide the necessary information for us to address your concerns.

Please note that Learnsharify does not claim ownership of any intellectual property rights in the content shared by users on the platform. Users are responsible for ensuring that they have the necessary rights, permissions, and licenses for the content they submit or share on Learnsharify.

Any unauthorized use or infringement of Learnsharify’s intellectual property rights may result in legal action, including but not limited to claims for damages, injunctions, and attorney’s fees.”

Privacy and Data Collection:

    Information Collection:
  • Personal Information: When you create an account on Learnsharify, we may collect personal information, such as your name, school name, and email address. We use this information to provide you with access to the platform and to communicate important updates or notifications.
  • Usage Data: We may collect non-personal information related to your use of Learnsharify, such as your IP address, browser type, device information, and usage statistics. This information is used to analyze trends, administer the platform, improve our services, and ensure a seamless user experience.
    Data Usage and Storage:
  • Data Usage: Learnsharify uses the collected information to operate, maintain, and enhance the platform, as well as to provide you with personalized features and recommendations. We do not engage in data mining at this time, but if our stance on this changes, we will update our Terms of Service and notify our users accordingly.
  • Third-Party Services: Learnsharify may utilize third-party services, such as hosting providers or analytics tools, to assist in data storage, analysis, and platform optimization. These service providers are contractually bound to handle data securely and in accordance with applicable data protection laws.
    Data Security:

    Learnsharify takes reasonable measures to protect the security of your information and prevent unauthorized access, disclosure, or alteration. However, no data transmission or storage method can guarantee 100% security, and we cannot ensure the absolute security of your data.

    User Control and Rights:
  • Account Settings: You can review and update your account information through the account settings on Learnsharify. You may also adjust your preferences for email communications.
  • Data Retention: We retain your personal information only for as long as necessary to fulfill the purposes outlined in this section or as required by law.     Updates to the Privacy Policy:

    Learnsharify reserves the right to update this Privacy Policy to reflect changes in our practices or applicable laws. We will notify users of any significant changes and seek consent if required by law.

User Content:

Learnsharify allows users to submit, upload, or otherwise share content on the platform. This section outlines the rights and responsibilities associated with user-generated content on Learnsharify.

    Ownership and License:
  • User Ownership: You retain ownership of any intellectual property rights in the content you submit or upload to Learnsharify. By posting or sharing content on Learnsharify, you grant Learnsharify a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display the content solely for the purposes of operating, promoting, and improving Learnsharify and its services. This license is granted to Learnsharify and its affiliates.
  • Content Representation: By sharing content on Learnsharify, you represent and warrant that you have the necessary rights, permissions, and licenses to grant the aforementioned license to Learnsharify, and that your content does not infringe upon the rights of any third party.
    Content Guidelines:
  • Prohibited Content: You are prohibited from uploading or sharing any content that is illegal, infringing, defamatory, harmful, or otherwise objectionable. Learnsharify reserves the right to remove or disable access to any content that violates these guidelines or the Terms of Service.
  • Responsibility for Content: You are solely responsible for the content you submit or share on Learnsharify. Learnsharify does not endorse, monitor, or control user-generated content, and we disclaim all liability arising from the use of such content.
    Content Monitoring and Removal:

    Learnsharify may, but is not obligated to, monitor user-generated content for compliance with our guidelines and policies. We reserve the right to remove or disable access to any content at our discretion, without prior notice, if we determine that it violates our guidelines or infringes upon the rights of others.

    Reporting Infringements:

    If you believe that any content on Learnsharify infringes upon your intellectual property rights or violates any applicable laws, please contact us promptly with the necessary information to address your concerns.

    User Content Disclaimer:

    Learnsharify is not responsible for the accuracy, completeness, or reliability of user-generated content. We disclaim all liability for any errors, omissions, or damages incurred as a result of using or relying on such content.

By using Learnsharify, you acknowledge and agree to comply with the guidelines and responsibilities outlined in this User Content section.

Payment Terms:
  • Revenue Sharing Model: Learnsharify operates on a revenue sharing model, where a portion of the ad revenue generated by student web traffic is distributed to participating teachers. The following terms outline the payment process and conditions.
    Eligibility and Timing:
  • Teacher Eligibility: To be eligible for participation in the revenue sharing program, teachers must actively use Learnsharify for a minimum period of one month. And then are paid for that content curation up to 1 month later.
  • Payment Schedule: Payments will be made on the 15th of every month, following the calculation of the previous month’s web traffic and revenue sharing allocations. For example, earnings for the month of July will be calculated and paid on August 15th.
    Calculation and Payment:
  • Web Traffic Analysis: Learnsharify will analyze the web traffic generated by students on the platform during each calendar month. The ad revenue generated from this traffic will be the basis for revenue sharing calculations.
  • Revenue Sharing Allocation: After the calculation of ad revenue, the revenue sharing allocation will be determined based on the above agreement. A ‘majority’ of the ad revenue guaranteed to the content curator is defined as 51% of ad revenue. The allocated share for each content curator will be calculated proportionally to their contribution in driving student web traffic.
  • Direct Deposit: Payments will be made via direct deposit to the bank account specified by the teacher in their Learnsharify account. Teachers are responsible for providing accurate and up-to-date banking information for successful payment processing.
    Payment Discrepancies and Disputes:
  • Payment Discrepancies: If a teacher identifies a discrepancy or believes there is an error in the payment amount, they must notify Learnsharify within 30 days of the payment date. Learnsharify will investigate the matter and rectify any verified errors. Please contact admin@Learnsharify.com with any issues related to payment.
  • Dispute Resolution: In the event of a dispute regarding payment or revenue sharing, both parties agree to engage in good faith discussions to reach a mutually acceptable resolution. If a resolution cannot be reached, the matter may be escalated to formal dispute resolution mechanisms as outlined in the Terms of Service. Please contact admin@Learnsharify.com with any issues related to payment.

Please note that Learnsharify reserves the right to modify the payment terms and schedule at its discretion. Any changes will be communicated to teachers through the platform and updated in the Terms of Service. By participating in the revenue sharing program, teachers acknowledge and agree to comply with the payment terms outlined in this section.”

Dispute Resolution:
    Informal Resolution:
  • Good Faith Discussions: In the event of any dispute, claim, or controversy arising out of or relating to the use of Learnsharify, both parties agree to first attempt to resolve the matter through good faith negotiations. The parties shall communicate their concerns and proposed solutions to each other in a respectful and professional manner.
  • Mediation: If the parties are unable to resolve the dispute through direct negotiations, they may agree to participate in non-binding mediation. Mediation involves the assistance of a neutral third party who will facilitate communication and help the parties reach a mutually acceptable resolution.
    Binding Arbitration:
  • Arbitration Agreement: If the dispute remains unresolved after attempts at informal resolution, both parties agree to resolve the dispute through binding arbitration. Any arbitration proceedings will be conducted in accordance with the rules and procedures of a recognized arbitration organization agreed upon by both parties.
  • Opt-Out Option: If either party prefers not to resolve the dispute through arbitration, they may elect to pursue their rights through litigation in a court of competent jurisdiction. This decision to opt-out of arbitration must be communicated in writing within a specified timeframe as outlined in the Terms of Service.
  • Arbitration Award: The arbitrator’s decision shall be final and binding on both parties. The arbitration award may be entered as a judgment in any court of competent jurisdiction.
    Class Action Waiver:

    Both parties agree that any dispute resolution proceedings will be conducted solely on an individual basis and not as a class, consolidated, or representative action. The parties waive any right to participate in class action lawsuits or class-wide arbitration

    Governing Law:

    These dispute resolution provisions shall be governed by and construed in accordance with the laws of the jurisdiction in which your company is registered. Any legal actions arising out of or related to the Terms of Service or the use of Learnsharify shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

By using Learnsharify, you acknowledge and agree to comply with the dispute resolution provisions outlined in this section.”

Limitation of Liability:
    Informal Resolution:
  • Disclaimer of Damages: To the fullest extent permitted by applicable law, Learnsharify and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of Learnsharify. This includes, but is not limited to, damages for loss of profits, data, or other intangible losses, even if Learnsharify has been advised of the possibility of such damages.
  • Limitation of Liability: In no event shall the total liability of Learnsharify and its affiliates, officers, directors, employees, agents, and licensors exceed the amount paid by the user for the use of Learnsharify during the twelve (12) months prior to the claim.
  • No Warranty: Learnsharify provides the platform on an “as is” and “as available” basis, without warranties of any kind, either expressed or implied. Learnsharify disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The use of Learnsharify is at the user’s own risk.
  • Indemnification: You agree to indemnify, defend, and hold harmless Learnsharify and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of Learnsharify or any violation of the Terms of Service.
  • Force Majeure: Learnsharify shall not be liable for any failure or delay in performing its obligations under the Terms of Service if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, or governmental actions.
  • Applicable Law: This Limitation of Liability section shall be governed by and construed in accordance with the laws of the jurisdiction in which your company is registered. Any legal actions arising out of or related to the Terms of Service or the use of Learnsharify shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

By using Learnsharify, you acknowledge and agree to the limitations of liability outlined in this section.

Termination:
    Termination by User:
  • Content Curators (Teachers): As a content curator on Learnsharify, you have the option to terminate your account at any time by deactivating it through the account settings. Upon deactivation, your account will no longer be accessible, and your user-generated content will be removed from public view. Please note that certain information may be retained in accordance with our Privacy Policy.
    Termination by the Company:
  • Company Discretion: Learnsharify reserves the right to terminate or suspend your access to the platform, in whole or in part, at its sole discretion and without prior notice, for any reason or no reason, including but not limited to a violation of the Terms of Service or any applicable laws or regulations.
  • Effect of Termination: Upon termination or suspension, your right to access Learnsharify and use its services will immediately cease. Learnsharify shall have no liability for any losses or damages arising out of or in connection with such termination or suspension.
    Survival of Terms:

    Certain provisions of the Terms of Service will survive the termination of your account or the discontinuation of Learnsharify’s services, including but not limited to the Intellectual Property, User Content, Limitation of Liability, Dispute Resolution, and Governing Law sections.

    Changes to the Terms of Service:

    Learnsharify reserves the right to modify, suspend, or terminate the Terms of Service or any aspect of Learnsharify’s services at any time and for any reason. Notice of material changes to the Terms of Service will be provided to users through the platform or by other means of communication.

    Effect on Rights and Obligations:

    Termination of your account or the Terms of Service does not affect any rights or obligations that have accrued prior to the termination. Any provisions of the Terms of Service that by their nature are intended to survive termination shall continue to apply.

Modifications:
    Updates to the Terms:

    Learnsharify reserves the right to modify, amend, or update these Terms of Service at any time, without prior notice, to reflect changes in our business practices, legal requirements, or to improve the user experience. Any modifications made to the Terms of Service will be effective immediately upon posting the revised version on Learnsharify or through other means of communication.

    Notification of Material Changes:

    In the event of material changes to the Terms of Service, Learnsharify will make reasonable efforts to provide notice to users through the platform or via email. It is your responsibility to review the updated Terms of Service periodically and ensure your continued compliance. Your continued use of Learnsharify following the posting of any modifications constitutes your acceptance of the revised Terms of Service. We will e-mail your accounts corresponding e-mail in order to notify you of any modifications.

    Right to Reject Modifications:

    If you do not agree with the modified Terms of Service, you have the right to discontinue using Learnsharify and terminate your account as outlined in the Termination section. By continuing to access or use Learnsharify after modifications have been made, you indicate your acceptance of the revised Terms of Service.

    Discretionary Changes:

    Learnsharify may, from time to time, make changes to the platform’s features, services, or policies. Such changes may be made without prior notice and are subject to the discretion of Learnsharify. Your continued use of Learnsharify following any changes indicates your acceptance of these updates.

    Language of the Terms:

    In the event of any discrepancy or inconsistency between translations of the Terms of Service and the English version, the English version shall prevail.

By using Learnsharify, you acknowledge and agree to the modifications provisions outlined in this section

Governing Law:

These Terms of Service and any disputes arising out of or relating to Learnsharify shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of laws principles.

Any legal actions, claims, or proceedings arising out of or relating to the Terms of Service or the use of Learnsharify shall be exclusively subject to the jurisdiction of the state and federal courts located within the State of New Jersey. You hereby consent to the personal jurisdiction of such courts and waive any objections to the exercise of jurisdiction over you by such courts.

To the extent permitted by applicable law, you hereby waive any right to a jury trial in any legal proceeding arising out of or related to these Terms of Service or your use of Learnsharify.
